Terms & Conditions

1. Definitions

For the purposes of these Terms:

• "Platform" means the AgapeConnect digital platform.
• "FuelShare" means a private, non-commercial ride cost-sharing arrangement between independent users.
• "TruckShare" means a cargo space-sharing arrangement between independent users.
• "User" means any individual or entity that accesses or uses the Platform.
• "Driver (Offer Rides)" means a User offering available vehicle seats through FuelShare.
• "Passenger (Find Rides)" means a User requesting a shared ride through FuelShare.
• "Vehicle Provider (Offer Cargo Space)" means a User offering cargo space through TruckShare.
• "Shipper (Send Items)" means a User requesting cargo space through TruckShare.
• "Contribution" means a shared fuel or cargo cost contribution and not a fare, wage, or commercial transport fee.
• "Platform Fee" means a service fee retained by AgapeConnect for operating and maintaining the Platform.
• "Booking" means a confirmed arrangement between Users facilitated through the Platform.

3. FuelShare Acknowledgments

Users acknowledge and agree that:

• FuelShare is not a public transport, taxi, TNVS, or ride-hailing service.
• Contributions represent shared fuel costs only.
• Drivers do not earn wages, salaries, or transport profits.
• Driving behavior, routes, timing, vehicle condition, and compliance with traffic laws are solely the responsibility of the Driver.
• Participation in FuelShare is voluntary and at the User's discretion.

4. TruckShare Acknowledgments

Users acknowledge and agree that:

• TruckShare is not a courier, freight forwarding, or logistics service.
• AgapeConnect does not pack, load, unload, inspect, store, or handle cargo.
• Cargo declarations, packaging, handling, and legality are the responsibility of the Users involved.
• AgapeConnect does not independently verify the contents, value, or condition of cargo.

5. Assumption of Risk

Users acknowledge that participation in FuelShare and TruckShare involves ordinary and foreseeable risks inherent to travel and cargo transport, including but not limited to traffic accidents, personal injury or death, property loss or damage, cargo loss or damage, delays, route changes, or cancellations. By using the Platform, Users voluntarily assume these risks to the fullest extent permitted by law.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

• AgapeConnect shall not be liable for personal injury, death, property damage, cargo loss, delays, or misconduct arising from User activities.
• AgapeConnect does not guarantee availability, timing, route accuracy, vehicle condition, or User conduct.
• AgapeConnect is not liable for disputes arising between Users.

AgapeConnect's total liability, if any, shall not exceed the Platform Fee paid by the affected User for the relevant Booking. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

7. Insurance

AgapeConnect may, when so requested, facilitate access to optional third-party insurance products, including but not limited to:

• RideSafe (FuelShare personal accident coverage)
• Cargo Protection (TruckShare goods-in-transit coverage)

Such insurance is optional, provided exclusively by third-party insurers, and governed solely by the insurer's policy terms. AgapeConnect is not the insurer, does not adjudicate claims, and is not responsible for claim approval, denial, or payout.

8. Payments & Contributions

Contributions are processed through third-party payment service providers and are subject to the terms and conditions of those providers. Platform Fees, if applicable, are disclosed prior to Booking confirmation. Refunds and cancellations are governed by Platform rules presented at the time of Booking.

AgapeConnect does not act as a trustee, bank, or escrow provider unless expressly stated.

9. User Accounts & Conduct

Users agree to provide accurate and current information, maintain account security, comply with applicable laws, and refrain from fraudulent, abusive, or unsafe behavior. AgapeConnect may restrict, suspend, or terminate accounts as necessary to protect Platform integrity, safety, or legal compliance.

10. Disputes Between Users

Disputes arising between Users should be resolved directly between the Users involved. AgapeConnect may, at its discretion, facilitate communication but is not obligated to mediate or resolve disputes.

11. Termination

AgapeConnect may suspend or terminate access to the Platform where necessary to protect safety, legal compliance, or Platform integrity. Termination does not affect provisions intended to survive termination.

12. Intellectual Property

All content, software, branding, and materials on the Platform are owned by or licensed to AgapeConnect and are protected by applicable intellectual property laws. Users are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal or internal business purposes. Users may not copy, modify, distribute, or exploit Platform content without prior written consent.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict-of-law principles.

14. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in effect. These Terms constitute the entire agreement between you and AgapeConnect regarding use of the Platform. AgapeConnect may update these Terms from time to time, and continued use of the Platform constitutes acceptance of the revised Terms.
